Service Terms and Conditions

These Terms of Use (this “Agreement”) govern your use of all digital products and services from Middle Market Journal (“MMJ”, "Middle Market Network" Middle Market Inc" “we”, “us”, or “our”) including without limitation, any sites, digital or in person platforms, services, content, and information therein (each, a “Service” and collectively, the “Services”). By accessing or using a Service, you signify that you agree to be bound by these Terms of Use. If you do not agree to be bound by the terms of this Agreement, please do not access a Service.

GENERAL TERMS FOR ALL SERVICES

1. Effective Date of & Changes to this Agreement

We may change the terms of this Agreement at any time by notifying you of the change in writing or electronically (including without limitation, by email or by posting a notice on a Service indicating that the terms have been “updated” or similar words). The updated terms will appear in this document, which you can access at any time by going to the Agreement link at the footer of the Services. By using a Service after changes are made to this Agreement you signify that you agree to be bound by such changes.

2. Non-Refundable Nature of Services

All services offered by Middle Market Inc. are non-refundable. This includes subscription access, memberships, and contributor services. Due to the proprietary nature of the services, including the interview and due diligence process required for enrollment, refunds or transfers are not available. Once access to any service is granted, no refund will be provided.

3. Access and Use of the Platform

Your use of the platform and its services is granted on a limited, non-transferable, non-exclusive basis. You may access the services only as permitted by this Agreement, and your access may be suspended or revoked at any time if you violate these terms.

4. Monitoring and Enforcement

Middle Market Inc. reserves the right to monitor and enforce compliance with these terms. We may, at our discretion, remove content, suspend access, or terminate your account if violations of these terms occur.

5. Limitation of Liability

Middle Market Inc. is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform. Our liability is limited to the fees paid by you for the service in question.

6. Modification of Terms

We reserve the right to update these Terms of Use at any time. Any changes will be communicated to users via email or through notices posted on the platform. Continued use of the platform constitutes acceptance of any modifications to these Terms.

7. Binding Arbitration and Class Action Waiver

By agreeing to be bound by these Terms of Use, you agree that any disputes arising out of or related to this Agreement or your use of the Services shall be resolved exclusively through binding arbitration. You waive your right to sue MMJ in any court or to participate in any class action.

1. Subscription Terms of Use

1.1 Subscription Service Overview

By subscribing to our content, including libraries, newsletters, and other materials provided through our platform, you agree to the following terms. Our subscription service is provided as a Platform as a Service (PaaS) and gives access to exclusive content, resources, and communications.

1.2 Non-Refundable Fees

Subscription fees are non-refundable under any circumstances. This includes cases where you access the platform and content and later choose to cancel or no longer wish to continue your subscription. Due to the interview process for subscription eligibility, refunds or transfers are not available.

1.3 Automatic Renewal

Unless you cancel your subscription in accordance with the cancellation policy, your subscription will automatically renew at the end of each billing cycle. You will be charged at the prevailing rate at the time of renewal.

1.4 Subscription Access

Your subscription provides you with access to content on the platform for the duration of the subscription term. You are granted a limited, non-transferable, non-exclusive license to access and use the content for personal or business use only.

1.5 Termination of Access

We reserve the right to suspend or terminate your subscription at our discretion, especially in the case of non-payment or breach of these Terms. Upon termination, you will lose access to any proprietary content.

1.6 Taxes

Subscription fees may be subject to applicable taxes based on your location. You are responsible for paying all such taxes.

2. Membership Terms of Use

2.1 Membership Service Overview

By joining as a member, you gain access to private communities, networks, and exclusive content. This membership is designed for individuals seeking access to specialized knowledge, discussions, and collaborations within the middle market industry.

2.2 Non-Refundable Fees

Membership fees are non-refundable. Due to the nature of the services provided, including the detailed onboarding process, once you enroll, you cannot cancel or request a refund for your membership.

2.3 Member Access and License

As a member, you are granted limited, non-transferable, non-exclusive access to the private communities, content, and features available on the platform. Your access is strictly personal and should not be shared or distributed to unauthorized users.

2.4 Member Conduct

Members must adhere to the community guidelines and engage in respectful, professional behavior. Any violation of these standards, such as harassment, abuse, or the dissemination of inappropriate content, may result in the suspension or termination of membership without refund.

2.5 Membership Termination

We reserve the right to suspend or terminate your membership if you violate any of these terms. Upon termination, all access to the platform and its content will be revoked.

2.6 Taxes

Members are responsible for any taxes or fees that may arise from their membership.

3. Contributor Terms of Use

3.1 Contributor Service Overview

As a Contributor (or "Expert"), you will receive branding, advertising, and promotional services on our platform, including but not limited to content exposure, networking, and direct interactions with potential clients or partners.

3.2 Non-Refundable Fees

All fees for contributor services are non-refundable. This includes any upfront payments made for branding or advertising services, which cannot be refunded once access to the platform has been granted.

3.3 Content Ownership and Use

By submitting content to the platform, you grant Middle Market Inc. a non-exclusive, worldwide, royalty-free license to use, display, distribute, and promote your content within the scope of the services provided. You retain ownership of the content you submit but agree to the license as specified.

3.4 Content Standards

You are responsible for the content you submit. Content must not infringe on third-party rights and must comply with applicable laws. We reserve the right to remove content that violates these standards or our platform’s policies.

3.5 No Guarantees of Business Outcomes

We do not guarantee any specific business outcomes or financial results from your engagement with the platform. Your success depends on your active participation, engagement, and how your offerings align with the interests of our subscribers and members.

3.6 Suspension of Account

Middle Market Inc. reserves the right to suspend or terminate a contributor's account if they violate any terms, including submitting unauthorized content, failing to comply with platform rules, or not adhering to agreed-upon professional conduct.

3.7 Taxes

All applicable taxes, fees, and other charges related to your participation in the platform are your responsibility. You agree to comply with local tax laws.

General Platform Terms (Applicable to All Services)

4.1 Engagement with Contributors, Sponsors, or Partners

MMJ is not liable for any interactions or engagements you may have with our contributors. By using our Services, you acknowledge that such engagements are at your own risk.

4.2 Service Fees

As a marketing company, MMJ may receive service fees or financial contributions from our contributors, sponsors, and partners. This does not affect the impartiality or integrity of the content presented.

4.3 Taxes

You are responsible for all applicable taxes associated with the service fees and other payments you make to us.

4.4 Privacy and Data Protection

We are committed to protecting your privacy and will use any personal data provided in accordance with our Privacy Policy.
