Does Middle Market Network Share Personal Information?

We will keep your personal data for as long as we need it, or as otherwise prescribed by law, for the purposes set out above. This period will vary depending on your interactions with us. We may also keep a record of correspondence with you (for example, if you have made a complaint about a product or service) for as long as is necessary to protect us from a legal claim.

You may unsubscribe from any of our online e-mail updates and marketing by following the unsubscribe instructions in the body of any e-mail message we have sent to you. We will take commercially reasonable steps to implement your unsubscribe requests promptly, but you may still receive promotional information from us by postal mail for up to 60 days, and up to 10 days for e-mail. Partners and Contractors Policy

We are committed to protecting the privacy and security of the personal information of our partnering and contractor applicants. We will collect data directly from you when you express interest in us as a potential partner or contractor or apply to work with us. We may also collect data about you indirectly, where you have made it publicly available on external sources such as Social Media or online information, but we will only continue to process this data if you agree. We collect, store, and use your personal information so that we can keep in touch with you and, if applicable, consider and process your application. We refer to this type of information as “Partners Information”. This includes:

-Prospective Candidates: If you express interest in us as a potential partner or contractor and want us to keep in touch with you and notify you of potential opportunities, you may provide us with information such as your name, contact details, location, areas of interest and screening information

-Application information: When you apply for a opportunity through our website, we offer ways for you to import your information, and we also ask some screening questions. How We Use Partners Information:

(1) In certain jurisdictions, on the basis that it is necessary for our legitimate interests as listed below, where not overridden by your data protection rights under applicable law:

-Receiving, reviewing, managing, and administering partnering applications.

-Processing your application, including assessing your skills, qualifications, and suitability for the area so that we can decide whether to take your application further or invite you to apply for other area either at the time or in the future.

-Conducting background and reference checks to validate your qualifications and experience and assess your suitability for the area, where applicable.

-Communicating with you about the partnering process.

-Improving our application process, to ensure that our application process is as user-friendly and effective as possible. This might include collecting information from you through voluntary surveys. Your choices in relation to surveys have no bearing on the selection process for any partnering at Middle Market Network.

-Keeping records relating to our partnering processes.

-Data analytics and reporting to help us visualize and monitor the effectiveness of our recruitment processes, identify trends, improve our processes, and allocate our resources effectively.

-Protecting our legitimate business interests and legal rights, and legal compliance, including use in connection with legal claims (including disclosure of such information in connection with legal process or litigation), compliance, regulatory, auditing, investigative, fraud prevention and reporting purposes.

(2) Where you have provided your consent, including: If you are a prospective candidate, retaining your data to review your skills, experience, and interests and to assess your suitability for, and notify you of, roles that might be of interest to you. You can ask us to delete your data at any time.

(3) Where necessary for us to administer any future contract of employment with you, if applicable.

(4) Where necessary to comply with a legal obligation.

If you fail to provide information when requested, and that information is necessary for us to consider your application (e.g., evidence of qualifications or work history), your application will be discontinued.

Who Could My Information Be Disclosed To?

a. Within Middle Market Network: Partners Information will be shared with people within Middle Market Network who have a “need to know” the information in connection with the partnering process. We also share Partners Information with personnel within the organization that manage and support the partnering process, such as Talent Acquisition, Human Resources, HR Operations, Finance, and Legal. In order to consider your application, we may therefore process and transfer your information within the organization.

b. Service Providers: We use third party service providers to assist with the recruitment process, including the collection, processing, and validation of Partners Information. We do not allow our third-party service providers to use your data for their own purposes. We only permit them to process it for specified purposes and in accordance with our instructions, and they are required to keep it confidential. For clarity, our service providers are required to take appropriate security measures to protect Partners Information in line with our privacy and data security standards.

c. Other third parties: Generally, Middle Market Network will only disclose Partners Information to third parties other than service providers when required to do so by law, regulation, or legal process, in response to a legitimate request for assistance by the police or other law enforcement agency or to seek legal advice from our external lawyers or in connection with litigation.

How Long Do We Keep Your Information, And How Do We Protect It?

(1) Retention: We will keep your information for as long as we need to fulfill our legitimate interests, to process your application and any following employment contract or to meet legal requirements, unless a longer retention period is required or allowed under applicable law. After this we will take steps to delete your information or hold it in a form that no longer identifies you.

(2) Security: We maintain procedural, technical, and physical safeguards to help protect against the loss, misuse, or unauthorized access, disclosure, alteration, or destruction of Candidate Information. These safeguards vary depending upon the sensitivity of the information we collect and store. Please be aware that no security solutions are infallible.

Your Rights

If you are a California resident, you have the right to request (i) Access to the Candidate Information we hold about you; (ii) Correction of the incomplete or inaccurate Candidate Information we hold about you; and (iii) Deletionor removal of any Candidate Information we hold about you. You or your authorized agent can make such a request on your behalf by contracting us at the e-mail address below. You have the right not to be discriminated against for exercising your rights. California law places certain obligations on businesses that “sell” personal information to third parties or “share” personal information with third parties for cross-context behavioral advertising. We do not “sell” or “share” the personal information covered by this policy and have not done so in the twelve months prior to the effective date of this policy.

In certain instances, applicable local laws may allow us legitimately and properly to refuse some of these requests; for instance, to comply with applicable legal obligations, to protect the legitimate rights of third parties or to preserve the confidentiality of management deliberations.

Applicable Law and Disputes

You agree that any dispute arising under, relating to or in any way connected with this Privacy Policy, the Services, the Agreement, or Middle Market Network’s products and services must be submitted to binding arbitration in accordance with the then-current Commercial Arbitration Rules & Procedures of JAMS in New Jersey. All arbitration proceedings shall be confidential and New Jersey law shall apply, except that the Federal Arbitration Act shall apply in regard to the interpretation and application of this arbitration provision.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages) and must follow the terms of our User Terms as a court would.

ANY CLAIMS, ACTIONS, OR PROCEEDINGS BY YOU MUST BE COMMENCED WITHIN ONE YEAR AFTER THE EVENT THAT GAVE RISE TO YOUR CLAIM OCCURS. ALL OTHER CLAIMS YOU MAY HAVE ARE PERMANENTLY BARRED.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Equitable Relief

You acknowledge and agree that in the event of a breach or threatened violation of our intellectual property rights and confidential and proprietary information by you, we will suffer irreparable harm and will therefore be entitled to injunctive relief to enforce this Agreement. We may, without waiving any other remedies under this Agreement, seek from any court having jurisdiction any interim, equitable, provisional, or injunctive relief that is necessary to protect our rights and property pending the outcome of the arbitration referenced above.

Miscellaneous

This Agreement and any action related thereto will be governed by the laws of the State of New Jersey without regard to its conflict of law’s provisions. Our failure to act on or enforce any provision of this Agreement shall not be construed as a waiver of that provision or any other provision therein. No waiver shall be effective against us unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance. Except as expressly agreed by us and you in writing, this Agreement constitutes the entire agreement between you and us with respect to the subject matter, and supersedes all previous or contemporaneous agreements, whether written or oral, between the parties with respect to the subject. All section headings contained in this Agreement are for convenience of reference only and will not affect the meaning or interpretation of this Agreement. This Agreement will inure to the benefit of our successors, assigns, licensees, and sublicensees.
